This guide explains how to process the removal of a company from the Companies Register using CAS 360. Removal is only applicable when the company has met the requirements under the Companies Act 1993, and all necessary approvals and documentation have been obtained.
Eligibility for Removal
A company may be removed from the register if it meets one of the following grounds:
Grounds A: The company has ceased to carry on business, has fully discharged its liabilities to all known creditors, and has distributed its surplus assets in accordance with its constitution and the Companies Act.
Grounds B: The company has no surplus assets after paying its debts in full or in part, and no creditor has applied to the court under section 241 for liquidation.
Note: Removal must comply with sections 317, 318, and 319 of the Companies Act 1993. Certain company constitutions or circumstances may require additional documentation.

Under the Company Status section, change Status to Removed.
The Prepare Forms icon will appear.
Click to open the Remove from Register screen.
Fields to Complete:

Prepare Required Documents
CAS 360 will generate the necessary documents via Document Production:
Cover Letter – generated automatically.

Shareholders' Minute or Resolution – required and selected by default.
Must be signed by at least 75% of shareholders.
States the grounds for removal.
Shareholder Consent – optional, can be included if required.
Directors' Minute or Resolution – optional, can be included if required.
Obtain Inland Revenue No Objection Letter
Request a No Objection Letter from Inland Revenue. This is mandatory before applying.
Submit Application to Companies Register
Forward the completed documents along with the No Objection Letter to the Companies Register.
Removal from Register
If no objections are raised within 20 working days of notice, the company will be removed from the register.
CAS 360 will update the company status to Removed automatically once the documents are processed.
